Terms of Service

By creating an account, accessing, or using any part of the Service, you confirm that you are at least 18 years of age, have the legal capacity to enter into these Terms, and agree to comply with and be bound by these Terms, our Privacy Policy, and our Cookie Policy, which are incorporated herein by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms and that the organization agrees to be bound.

Aliff Labs is a software-as-a-service (SaaS) platform for government contracting intelligence. The Service provides tools including but not limited to:

• Government contract opportunity identification and matching.
• Pipeline management and capture tracking.
• AI-powered analysis, research, and proposal assistance.
• Client and team collaboration features.
• Market intelligence and reporting dashboards.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We will make commercially reasonable efforts to notify subscribers of material changes.

To access certain features of the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during the registration process.
• Maintain and promptly update your account information to keep it accurate and complete.
• Maintain the security and confidentiality of your login credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately at legal@aliffsolutions.com if you suspect any unauthorized access to or use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

The Service is offered under various subscription plans. Details of available plans, features, and pricing are published at aliffsolutions.com.

Paid Subscriptions

• Paid plans are billed in advance on a monthly or annual basis, depending on the plan you select.
• All fees are stated in US Dollars and are non-refundable except as expressly stated herein or required by applicable law.
• Payment is processed through Stripe. By providing your payment information, you authorize us to charge the applicable fees to your payment method.

Renewals and Cancellations

• Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access until then.
• No refunds or credits will be issued for partial billing periods.

Price Changes

We may change subscription fees upon 30 days' prior written notice. Continued use of the Service after the price change takes effect constitutes your acceptance of the new fees.

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Infringe upon the intellectual property rights or privacy rights of any third party.
• Upload or transmit viruses, malware, or any code designed to disrupt, damage, or limit the functionality of the Service.
• Attempt to gain unauthorized access to the Service, other user accounts, or computer systems or networks connected to the Service.
• Use automated systems (bots, scrapers, crawlers) to access the Service in a manner that exceeds reasonable usage or circumvents rate limits without our written permission.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
• Resell, sublicense, or redistribute any part of the Service without our express written consent.
• Use the Service to transmit unsolicited or unauthorized advertising, spam, or promotional materials.
• Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to investigate and take appropriate action, including suspension or termination of your account, for any violation of this section.

The Service, including its original content, features, functionality, design, software, and documentation, is and remains the exclusive property of Aliff Solutions FZC and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

The Aliff Solutions name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Aliff Solutions FZC. You may not use these marks without our prior written permission.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

Your data: You retain all ownership rights to the data, content, and materials you upload or create within the Service ("User Content"). By using the Service, you grant us a limited license to host, store, process, and display your User Content solely for the purpose of providing and improving the Service.

Our data: All data generated by the Service, including aggregated analytics, AI-generated insights, market intelligence, and derived data that does not contain your personally identifiable information, is owned by Aliff Solutions.

Government data: Data sourced from publicly available government databases (SAM.gov, FPDS, USAspending.gov, etc.) remains in the public domain. Our value-added analysis, formatting, and presentation of such data is proprietary to Aliff Solutions.

Upon termination of your account, you may request an export of your User Content. We will make your data available for download for 30 days following termination.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and course of dealing.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained through the Service will be accurate or reliable.
• Any AI-generated content, analysis, or recommendations will be correct, complete, or suitable for your specific needs.
• Government data presented through the Service reflects the most current information available from source agencies.

The Service is a decision-support tool. You are solely responsible for verifying information and making your own business decisions. The Service does not constitute legal, financial, or professional advice.

To the maximum extent permitted by applicable law, in no event shall Aliff Solutions FZC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Service.
• Any conduct or content of any third party on the Service.
• Any content obtained from the Service.
• Unauthorized access, use, or alteration of your transmissions or content.

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim or (b) one hundred US Dollars (USD $100).

You agree to defend, indemnify, and hold harmless Aliff Solutions FZC, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms.
• Your use of the Service, including any data or content transmitted or received by you.
• Your violation of any third-party rights, including intellectual property or privacy rights.
• Your violation of any applicable law, rule, or regulation.

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease.
• We may delete your account and all associated data after a 30-day grace period, unless a longer retention period is required by law.
• Any provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

You may terminate your account at any time by contacting us at legal@aliffsolutions.com or through your account settings.

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. The courts of Ras Al Khaimah, UAE, shall have non-exclusive jurisdiction over any disputes arising under or in connection with these Terms.

For users located in the European Union, nothing in these Terms affects your rights as a consumer under mandatory EU consumer protection laws.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, you agree to first attempt to resolve the dispute informally by contacting us at legal@aliffsolutions.com. We will make good-faith efforts to resolve any dispute within 30 days.

If the dispute cannot be resolved informally, both parties agree to submit the dispute to binding arbitration administered by the Ras Al Khaimah International Arbitration Centre (RAK IAC) in accordance with its rules. The arbitration shall be conducted in English. The arbitral award shall be final and binding on both parties.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than arbitration, both parties waive any right to a jury trial.

We reserve the right to modify or replace these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and provide notice through the Service or via email to registered users at least 30 days before the changes take effect.

Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Service and terminate your account.
