FAR 52.216-22 — Indefinite Quantity
Standard IDIQ contract clause establishing minimum and maximum order quantities, task order procedures, and ordering rights.
When This Clause Applies
Required in all indefinite-quantity contracts (IDIQs).
What This Means for Contractors
Government guarantees a minimum order; contractor is required to fulfill orders up to the maximum within the ordering period. Task order issuance follows the specific fair opportunity procedures in 52.216-23 or 52.216-24.
Common Pitfalls
- 1Treating IDIQ award as guaranteed task order revenue (only the minimum is guaranteed)
- 2Inadequate capacity to fulfill orders at the maximum rate
- 3Disputes over what constitutes a 'qualifying' task order under the contract scope
