FAR 52.237-3 — Continuity of Services
Requires the contractor to provide for continuity of services during the transition to a new contractor (e.g., at recompete loss), including phase-in/phase-out support and personnel turnover.
When This Clause Applies
Required in service contracts where uninterrupted service is critical.
What This Means for Contractors
Outgoing contractor must support the incoming contractor's phase-in (typically 90 days), provide records and operational documentation, and avoid recruiting outgoing personnel for at least 30 days. Inversely, incoming contractor benefits from forced phase-in support.
